The receiving party must protect the disclosing party’s non-public technical, product, commercial, financial, and strategic information, use it only for the stated purpose, and disclose it only to people who need to know and are bound by confidentiality duties.

The duties do not apply to information already known without restriction, public without breach, independently developed, or lawfully received from another source. Compelled disclosure is limited to what law requires. The final version must add parties, purpose, term, return/deletion, notices, and signatures.
