# FoodX Mutual NDA — internal working draft

Each party may disclose non-public technical, product, commercial, financial, or strategic information (“Confidential Information”). The receiving party will use it only for the agreed evaluation or collaboration, restrict access to people who need it, and protect it with reasonable care.

Confidential Information excludes information already known without duty, publicly available without breach, independently developed, or lawfully received from another source. If disclosure is legally compelled, the recipient will give notice where lawful and disclose only what is required.

No licence, partnership, employment, agency, or obligation to proceed is created. On request, each party will return or securely delete Confidential Information subject to lawful backups and records. The final version must add parties, term, governing law, notices, and authorised signatories.
